These Terms of Service (“Terms”) govern certain products, websites, hosted services, accounts, cloud-connected functionality, artificial-intelligence functionality, trials, and other services provided by ProjectLibre, Inc., a Nevada corporation (“ProjectLibre,” “we,” “us,” or “our”).
ProjectLibre offers both open-source software and hosted or proprietary services. Those offerings are governed by different legal terms.
The sections below explain which terms apply to which ProjectLibre products and services.
ProjectLibre Desktop Covered Code and ProjectLibre hosted services are distinct offerings.
ProjectLibre Desktop Covered Code is licensed under the open-source license identified with that code, including the Common Public Attribution License Version 1.0 (“CPAL”) where applicable.
The applicable open-source license alone governs the rights and obligations relating to the use, reproduction, modification, distribution, external deployment, and other licensing of that Covered Code.
If these Terms and the applicable open-source license could reasonably be interpreted as conflicting with respect to Covered Code, the open-source license controls.
No acceptance of these Terms is required merely to exercise rights granted under the CPAL with respect to Covered Code.
The inclusion of these Terms with a ProjectLibre Desktop distribution is for notice regarding ProjectLibre online and connected services and does not impose additional restrictions on rights granted under the CPAL.
A customer may have entered into a ProjectLibre Master Services Agreement (“MSA”), Order Form, Data Processing Agreement (“DPA”), Service Level Agreement (“SLA”), or another negotiated agreement.
Where a negotiated agreement governs a particular ProjectLibre service or subject matter, that agreement controls.
For example, an applicable Order Form and MSA continue to govern the enterprise customer's ProjectLibre Cloud subscription, commercial terms, confidentiality provisions, liability provisions, data-use rights, dispute provisions, and other matters covered by those agreements.
These general Terms apply to an enterprise customer only to the extent a matter is not governed by its applicable negotiated agreement or the customer separately uses another ProjectLibre service governed by these Terms.
Subject to the protections above, these Terms govern ProjectLibre websites, accounts, self-service ProjectLibre Cloud use, trials, evaluations, AI functionality, Desktop-to-Cloud services, online services accessed from ProjectLibre Desktop, integrations, communities, support services, and future ProjectLibre products or services that reference these Terms.
You accept these Terms when you affirmatively agree to them through a ProjectLibre website, account, Cloud service, trial, connected service, upload process, or other service that expressly references these Terms.
If you use a Service on behalf of a business, government agency, educational institution, nonprofit organization, or other organization, you represent that you are authorized to accept these Terms on behalf of that organization.
These Terms do not require a ProjectLibre Desktop user to surrender or modify rights granted under the applicable CPAL or other open-source license.
If an applicable MSA or other negotiated agreement already governs your use of a ProjectLibre Service, accepting these Terms does not replace that agreement.
For purposes of these Terms, “Services” means ProjectLibre-hosted or ProjectLibre-provided services that reference these Terms, including:
A particular Service may also have supplemental terms.
ProjectLibre Desktop is locally installed project-management software.
Covered Code included in ProjectLibre Desktop may be licensed under CPAL or another open-source license identified with that code.
The applicable open-source license governs the licensing of that Covered Code.
These Terms do not prohibit or restrict activities that the applicable open-source license permits. Conversely, nothing in these Terms eliminates or reduces obligations imposed by the applicable open-source license.
For CPAL Covered Code, this includes applicable obligations concerning Covered Code, Modifications, distribution, source-code availability, attribution, required notices, and External Deployment.
ProjectLibre Cloud, ProjectLibre-hosted infrastructure, hosted APIs, ProjectLibre accounts, proprietary server-side technology, AI services, databases, trademarks, subscription services, and other services not expressly released as CPAL Covered Code do not become subject to the CPAL merely because they interact with ProjectLibre Desktop.
ProjectLibre Desktop may provide access to optional ProjectLibre online or Cloud functionality.
A Desktop user's decision to use such functionality may create a separate service relationship governed by these Terms or another applicable agreement.
For example, these Terms may govern a user's voluntary use of a ProjectLibre account, Desktop-to-Cloud evaluation, Cloud project upload, AI feature, online support service, integration, or other hosted functionality.
Using such a service does not change the license governing the underlying ProjectLibre Desktop Covered Code.
ProjectLibre Desktop may provide users with an option to open, evaluate, migrate, or otherwise use a Desktop project in ProjectLibre Cloud.
The uploaded project may contain:
Before the upload, ProjectLibre may require you to acknowledge that the project will be uploaded and agree to these Terms and the ProjectLibre Privacy Policy.
You represent that you have authority to upload the project and authorize its processing as described in the applicable ProjectLibre agreements and Privacy Policy.
Your original Desktop project file remains on your computer unless you separately modify or delete it.
Once uploaded, the copy of the project in ProjectLibre Cloud is treated as Customer Content.
ProjectLibre Cloud is a hosted project-management service.
Depending on the applicable plan, subscription, trial, or agreement, it may include project scheduling, portfolios, collaboration, multi-project management, enterprise resource management, resource leveling, dashboards, time and work management, imports, exports, risk analysis, schedule auditing, artificial intelligence, and other functionality.
ProjectLibre may add, improve, replace, or discontinue functionality as its products evolve.
Where an enterprise customer's Cloud subscription is governed by an MSA and Order Form, those documents—not these general Terms—govern the customer's contractual rights to that Cloud Service.
Certain Services require an account.
You agree to provide accurate account information and to take reasonable steps to protect your account credentials.
Organizations are responsible for administering their users, project permissions, access roles, and organizational accounts.
You must promptly notify ProjectLibre if you become aware of unauthorized access to your account.
“Customer Content” means project information, resource information, files, data, text, communications, attachments, prompts, or other information submitted, uploaded, imported, generated, stored, or maintained by or on behalf of a customer through a ProjectLibre Service.
ProjectLibre does not obtain ownership of a customer's projects merely because those projects are stored or processed using ProjectLibre.
You grant ProjectLibre and its authorized service providers the rights reasonably necessary to host, copy, transmit, process, display, analyze, back up, secure, and otherwise process Customer Content in order to provide the applicable Service, perform functionality requested by users, provide support, protect the Service, comply with law, and perform other processing expressly permitted by the applicable ProjectLibre agreement and Privacy Policy.
If an MSA, DPA, Order Form, or other negotiated agreement governs Customer Content, that agreement controls the scope of ProjectLibre's rights to Customer Content.
You are responsible for the Customer Content you place in the Services.
You represent that you have the rights, permissions, authority, or other lawful basis reasonably necessary to provide that Customer Content to ProjectLibre and to permit ProjectLibre to process it for the applicable Service.
Projects may contain personal information relating to employees, contractors, customers, vendors, consultants, resources, or other individuals.
The customer remains responsible for determining whether it has authority to place that information in ProjectLibre and for providing notices or obtaining authorizations required by applicable law.
Certain ProjectLibre Services include artificial-intelligence functionality.
When a user requests an AI-enabled function, ProjectLibre may process Customer Content reasonably necessary to perform that function.
This may include:
ProjectLibre may use third-party cloud infrastructure, AI infrastructure, foundation models, large-language models, and related technology providers in providing AI functionality.
You authorize ProjectLibre to transmit relevant Customer Content to such providers when reasonably necessary to perform a Service you request, subject to applicable contracts, confidentiality requirements, security protections, and privacy requirements.
ProjectLibre does not authorize its service providers to sell Customer Content or use Customer Content for advertising.
Where commercially and technically available, ProjectLibre seeks to configure enterprise AI services so that Customer Content submitted to provide ProjectLibre functionality is not independently used by the underlying AI provider to train its general-purpose models.
For users governed only by these general Terms, and where permitted by applicable law, ProjectLibre may create aggregated, de-identified, or anonymized information derived from Customer Content, project structures, Service usage, and AI interactions.
ProjectLibre may use such information for:
For cross-customer uses, ProjectLibre takes measures designed to remove, mask, generalize, exclude, or transform direct identifiers and other information that could directly identify an individual, customer, resource, or specific project.
Depending upon the information involved, these measures may include removal or transformation of:
ProjectLibre may retain non-identifying project-management structures and patterns such as task relationships, task durations, work breakdown structures, resource-utilization patterns, assignment patterns, schedule structures, constraints, float patterns, risk characteristics, and project-performance patterns.
ProjectLibre does not intentionally use de-identified information to recreate or determine the identity of an individual, customer, resource, or specific project.
ProjectLibre does not sell such information or use it for third-party advertising.
Nothing in this Section transfers ownership of Customer Content to ProjectLibre.
Where applicable law requires a specific consent, opt-out, or other procedure for a particular use, ProjectLibre will provide the process required by applicable law.
Artificial-intelligence output can contain errors, omissions, or inaccurate information.
AI output is intended to assist users rather than replace professional project-management judgment.
You are responsible for reviewing project plans, schedules, recommendations, risk assessments, resource assignments, calculations, forecasts, or other AI-generated output before relying on it.
Unless ProjectLibre expressly agrees otherwise, ProjectLibre AI is not intended to independently make employment, credit, insurance, medical, legal, or other decisions producing similarly significant legal effects concerning individuals.
AI-generated output may not be unique, and different users may receive similar output.
ProjectLibre's handling of personal information is described in the ProjectLibre Global Privacy Policy:

The Privacy Policy applies according to its terms.
Where a DPA or other negotiated agreement governs processing of personal information for a customer, that agreement controls to the extent of any conflict.
Customer Content may contain confidential or proprietary information.
ProjectLibre will not intentionally disclose Customer Content to unrelated third parties except as authorized by the customer, reasonably necessary to provide or secure the Services, permitted by the applicable agreement and Privacy Policy, required by law, or otherwise legally permitted.
If an MSA or another negotiated agreement contains confidentiality provisions, those provisions govern the applicable customer relationship and are not modified by these Terms.
You may not use ProjectLibre-hosted Services to:
You may not reverse engineer, decompile, or attempt to discover proprietary server-side source code or algorithms except to the extent such a restriction is prohibited by applicable law.
These restrictions apply to ProjectLibre-hosted and proprietary Services. They do not restrict rights granted under the CPAL or another applicable open-source license with respect to Covered Code.
ProjectLibre may connect to third-party applications, identity systems, communications platforms, data services, storage services, APIs, or other services.
If you enable an integration, you authorize ProjectLibre to exchange information with that third party as reasonably necessary to provide the integration.
Third-party products and services are generally governed by their own terms and privacy practices.
ProjectLibre may offer trials, Desktop-to-Cloud evaluations, previews, early-access features, beta functionality, or other evaluation Services.
These Services may have limited duration or functionality and may restrict saving, exporting, collaboration, or other capabilities.
ProjectLibre may change or discontinue free, preview, beta, or evaluation Services subject to applicable law.
Trial or beta availability does not guarantee that the same functionality will become or remain part of a paid product.
Certain Services require payment.
Pricing, subscription duration, billing frequency, included users, applicable user minimums, and other commercial terms will be disclosed through the applicable purchase process.
You agree to pay the applicable charges and taxes.
If a subscription automatically renews, ProjectLibre will provide renewal information as required by applicable law.
Unless otherwise stated at purchase or required by law, payments are non-refundable.
This Section applies to self-service purchases. An enterprise subscription governed by an MSA or Order Form remains governed by that MSA or Order Form.
ProjectLibre may suspend or terminate access to a Service for material violation of these Terms, security threats, unlawful activity, fraud, material misuse, nonpayment, sanctions or export-control requirements, or when required by law.
Where circumstances reasonably permit, ProjectLibre may provide notice and an opportunity to remedy the issue.
This Section does not replace suspension or termination provisions contained in an MSA, Order Form, or other negotiated agreement.
Termination of a hosted Service does not terminate or modify CPAL rights previously granted with respect to ProjectLibre Desktop Covered Code.
Except for Customer Content and software expressly licensed under an open-source license, ProjectLibre and its licensors retain their respective rights in:
No proprietary right is granted except as expressly provided in the applicable agreement.
Nothing in this Section changes ownership or licensing of CPAL Covered Code.
ProjectLibre names, logos, trademarks, service marks, and branding are protected independently of copyright in open-source code.
Rights to use ProjectLibre trademarks are governed by applicable trademark law, the applicable open-source license where it expressly addresses attribution or marks, and any separate written permission provided by ProjectLibre.
Nothing in these Terms eliminates an attribution obligation imposed by CPAL Covered Code.
Nothing in these Terms grants additional trademark rights beyond those otherwise provided by law, license, or written authorization.
If you voluntarily provide ideas, suggestions, feature requests, recommendations, or other feedback concerning ProjectLibre, you permit ProjectLibre to use that feedback without restriction or compensation.
Feedback does not include Customer Content merely because Customer Content helps ProjectLibre operate a Service.
ProjectLibre uses administrative, technical, and organizational measures designed to protect hosted Customer Content and personal information.
No Internet-connected system can be guaranteed to be completely secure.
Enterprise customers may have additional security commitments under an MSA, DPA, SLA, security addendum, or other negotiated agreement, and those commitments remain controlling.
ProjectLibre seeks to provide reliable Services but does not guarantee uninterrupted operation except where a separately agreed SLA provides otherwise.
Services may occasionally be unavailable because of maintenance, upgrades, infrastructure failures, third-party failures, security events, Internet outages, force majeure events, or other operational circumstances.
ProjectLibre may evolve or modify its Services as technology and customer requirements change.
Nothing in the warranty, disclaimer, liability, indemnification, governing-law, venue, or dispute provisions of these Terms replaces the corresponding provisions of CPAL with respect to CPAL Covered Code.
The CPAL continues to govern those matters within the scope of that license.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT AS EXPRESSLY PROVIDED IN AN APPLICABLE MSA, ORDER FORM, SLA, OR OTHER WRITTEN AGREEMENT, PROJECTLIBRE-HOSTED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PROJECTLIBRE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED.
ProjectLibre does not warrant that:
Nothing in these Terms excludes consumer or statutory rights that cannot lawfully be excluded.
This Section applies only to Services governed by these general Terms.
It does not replace the liability provisions of an applicable CPAL license, MSA, Order Form, DPA, SLA, or other negotiated agreement.
To the maximum extent permitted by applicable law, ProjectLibre and its affiliates, officers, employees, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from Services governed by these Terms, including loss of profits, revenue, goodwill, or business opportunity.
For a paid self-service Service governed only by these Terms, ProjectLibre's aggregate liability arising from that Service will not exceed the amount paid to ProjectLibre for that Service during the twelve months preceding the event giving rise to the claim.
For a free Service, trial, preview, or evaluation governed only by these Terms, ProjectLibre's aggregate liability will not exceed US $100.
These limitations apply only to the maximum extent permitted by applicable law and do not limit liability that cannot legally be limited.
To the extent permitted by applicable law, an organization using a Service governed solely by these Terms agrees to defend and indemnify ProjectLibre against third-party claims arising from Customer Content that infringes another person's rights, the organization's unlawful use of the Service, or the organization's lack of authority to upload or process Customer Content.
This Section does not apply where an MSA or other negotiated agreement provides different indemnification obligations.
This Section does not alter indemnification obligations created by CPAL with respect to Covered Code.
ProjectLibre is a United States company and may be subject to U.S. and other applicable trade, export-control, and sanctions laws.
Users must not use or provide access to ProjectLibre-hosted Services in violation of applicable export-control or sanctions requirements.
This Section applies only to the extent permitted by applicable law and does not purport to modify the licensing provisions of CPAL.
ProjectLibre products and services are used internationally.
Users are responsible for complying with laws applicable to their use of a Service.
ProjectLibre will comply with mandatory legal requirements applicable to ProjectLibre.
Where mandatory local law provides rights or protections that cannot be waived by contract, those rights and protections remain applicable.
For Services governed solely by these general Terms, and except where mandatory law provides otherwise, these Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law rules.
Disputes concerning these general Terms may be brought in the state or federal courts having jurisdiction in Clark County, Nevada, unless applicable law requires another forum.
This Section also does not replace the dispute-resolution provision of an applicable MSA or other negotiated agreement. The dispute provision in that agreement controls.
ProjectLibre may enter into MSAs, Order Forms, DPAs, SLAs, security agreements, and other negotiated agreements with businesses, universities, governments, nonprofits, and other organizations.
Those agreements remain legally independent from these general Terms.
Acceptance of these Terms by an Authorized User of an enterprise customer does not amend the enterprise customer's MSA, Order Form, DPA, SLA, or other negotiated agreement.
ProjectLibre will not rely on an end user's acceptance of these general Terms to obtain contractual rights from an enterprise customer's Customer Content that are broader than the rights provided in the enterprise customer's governing agreement.
Where a negotiated agreement conflicts with these Terms, the negotiated agreement controls within its scope.
ProjectLibre may introduce additional products, applications, platforms, AI services, integrations, hosted services, or other offerings.
These Terms apply to a future product or Service only when that product or Service expressly references or incorporates these Terms.
ProjectLibre may establish separate or supplemental terms for a future product.
Those supplemental terms govern that product to the extent they differ from these general Terms.
A new ProjectLibre product does not become CPAL-licensed merely because another ProjectLibre product is CPAL-licensed.
Likewise, these Terms do not change the CPAL status of existing Covered Code.
ProjectLibre may update these Terms as its Services, business, technology, and legal requirements evolve.
ProjectLibre will update the “Last Updated” date when these Terms change and will provide additional notice or obtain affirmative acceptance when required by applicable law.
For Services governed solely by these Terms, ProjectLibre may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of substantially all relevant assets.
Users may not transfer a subscription account in a manner that materially transfers contractual rights without ProjectLibre's consent, except where applicable law provides otherwise.
This Section does not change assignment rights or restrictions contained in CPAL, an MSA, or another negotiated agreement.
Neither party will be responsible for a failure to perform an obligation governed solely by these Terms when the failure results from circumstances beyond that party's reasonable control, including natural disasters, war, terrorism, civil disturbances, widespread telecommunications or Internet failures, government actions, labor disruptions, major infrastructure failures, or similar events.
This Section does not override force-majeure provisions contained in a negotiated agreement.
If a provision of these Terms is found unenforceable, it will be enforced to the maximum extent legally permissible, and the remaining provisions will remain effective.
Failure to enforce a provision does not constitute a waiver of that provision.
Neither principle may be used to modify the separate terms of CPAL or an applicable negotiated agreement.
These Terms govern only the Services and matters within their scope.
They should be read together with the ProjectLibre Privacy Policy and any applicable supplemental terms.
For ProjectLibre Desktop Covered Code:
CPAL or another applicable open-source license controls within the scope of that license.
For enterprise ProjectLibre Cloud customers:
Applicable Order Forms, MSA, DPA, SLA, and other negotiated agreements control according to
their scope and stated priority.
For self-service, website, account, trial, connected-service, and other general Services:
These Terms apply where no more specific agreement controls.
These Terms do not combine the open-source license and ProjectLibre's proprietary or hosted-service agreements into a single license.
Any amendment of such an agreement must occur in the manner permitted by that agreement or applicable law.
ProjectLibre may make translations of these Terms available for convenience.
Except where applicable law requires otherwise, the English-language version controls if translations differ.
This Section does not reduce mandatory rights provided by local law.

These Terms are intended to provide a general global contractual framework for ProjectLibre-hosted, online, connected, self-service, trial, and future Services.
Where mandatory law applicable to a user provides rights that cannot lawfully be waived or limited, those rights remain applicable.
Nothing in these Terms should be interpreted to waive rights granted under the CPAL, expand restrictions on CPAL Covered Code, or reduce rights or protections contained in an applicable ProjectLibre MSA, Order Form, DPA, SLA, or other negotiated agreement.
